Terms of Service
Smart DevOps AI Agent is provided by PRIMEDHA Technologies Private Limited ("we", "us"). Effective 24 October 2026.
By creating an account, or by connecting a cloud account to the service, you ("Customer", "you") agree to these Terms. If you accept for an organization, you confirm you may bind it. The Data Processing Agreement, the Privacy Policy, the Support Policy and the Refund and Cancellation Policy form part of these Terms.
1. The service
1.1 The service is a platform that, on your instruction, plans, creates, changes, repairs, monitors and removes cloud infrastructure and applications in your own cloud account (Google Cloud, Amazon Web Services or Microsoft Azure) from a specification file you submit, and shows you what it did and what it costs.
1.2 It acts through a federated identity that you create in your cloud account by running our bootstrap script. We store no long-lived cloud keys. You can remove our access at any time by deleting that identity or the trust; doing so stops the service from acting in your account and does not delete what is already running there.
1.3 The service uses automated systems, including language models, to diagnose and repair failures. See section 4.
2. Accounts
2.1 You must give accurate sign-up information, keep credentials safe, and are responsible for everything done through your account, including by people you invite.
2.2 Sign-up may require our approval. We may refuse or end an account that breaches these Terms or creates a risk to others.
2.3 You must be at least 18 and able to enter a contract.
3. Your cloud account, your cloud costs
3.1 The cloud account, the resources in it and the cloud provider's charges are yours. You contract with the cloud provider; we are not a reseller and add no mark-up to cloud charges.
3.2 Cost figures the service shows before or during a deployment are estimates. Your cloud provider's invoice is the only authoritative statement of what you owe it. We are not responsible for cloud charges, including those from resources that remain after an environment is removed (for example data disks kept on purpose for production environments, or resources created outside the service). You are responsible for reviewing what is retained and removing what you no longer want.
3.3 You are responsible for keeping the cloud account in good standing (billing, quotas, permissions, organization policies) and for the lawfulness of what you run in it.
4. Automation and your authority to act
4.1 You authorise the service to create, change and delete resources in the cloud accounts you connect, to the extent needed to carry out specifications you submit, including destroying an environment when you ask for it.
4.2 Where you switch on automatic repair or self-healing, you additionally authorise the service to change your infrastructure and specification without asking you first to correct failures, within the limits stated in the documentation and your plan. You can switch this off at any time in your specification.
4.3 A destroy that you request, in particular one that wipes protected resources, cannot be undone. Take backups first. We are not liable for data you chose to delete.
4.4 Language-model output can be wrong. The service limits what automated repair may change and records what it did, but you remain responsible for your environments.
5. Plans, fees and payment
5.1 The service is sold to businesses only. Plans (Starter, Growth, Scale, Enterprise) and their limits (projects, environments per project, one cloud or several, the monthly pool of automatic AI repairs, support level) are those published on our price page on the date we approve your request; the limits are hard limits and nothing is charged automatically when you reach one: you are asked to request an extra environment or a larger plan.
5.2 Trial. A new account has a free trial of 7 days that begins at its first successful deployment. When it ends, no new deployment or repair can start until a plan has been approved; what already runs in your cloud account is not touched and you can still sign in, see your history and invoices, and remove environments.
5.3 How a plan starts. You choose a plan and billing details in the console and send a request. We review it and approve it, and we choose whether the plan starts at once (the invoice is due after the payment term below) or when your payment arrives (we then send a proforma invoice, which is not a tax invoice, and the GST tax invoice when we receive the money). A plan does not start without our approval.
5.4 Fees and invoices. Fees are charged in advance, monthly or annually (an annual plan is invoiced for 10 months), by an invoice we e-mail to the billing contact of your account. For a customer in India the invoice is a GST tax invoice in Indian rupees with GST at the rate in force; for a customer elsewhere it is an invoice in US dollars for an export of services, without GST. It is payable by bank transfer to the account named on it within [15] days of the invoice date, quoting the invoice number. Fees exclude taxes. You give us the legal name, address, state and (if registered) GSTIN to print on the invoice, and keep them current. If you must deduct tax at source, tell us before paying and send us the certificate. A subscription renews at the end of each paid period, and we invoice the next period on that day.
5.5 Changes. An upgrade takes effect when we approve it and is invoiced for the rest of the current period. A lower plan, or another billing interval, takes effect at the end of the current period. Extra environments are an add-on we approve on request and invoice for the rest of the period and with each renewal. You may pause or cancel from the console at the end of the paid period or immediately.
5.6 Non-payment. If an invoice is unpaid after its due date we send reminders. If it is still unpaid 30 days after the due date the account is marked overdue, and after a further 7 days it becomes read-only (no new deployments, repairs or self-healing); we may also suspend the account under 13.2. Payment restores it. Nothing in your cloud account is changed by any of this.
5.7 Refunds and cancellations are governed by the Refund and Cancellation Policy, which forms part of these Terms. Prices may change on 30 days' written notice, from your next renewal.
6. Acceptable use
You will not: use the service to break the law or a cloud provider's terms; deploy malware, run abusive or deceptive workloads, or mine cryptocurrency without the cloud provider's permission; probe, overload or attack the service or other customers; try to access another customer's data or environment; reverse engineer the service except as the law allows; or resell it without our written consent.
7. Your content and your data
7.1 You keep all rights in your specifications, code, images, data and workloads ("Customer Content"). You give us a licence to process it only to provide and secure the service.
7.2 Where Customer Content contains personal data, we process it as your processor under the Data Processing Agreement.
7.3 The service is not intended for payment card data, health records or other data subject to special regulation. Do not put such data through it unless we have agreed in writing.
8. Our rights
The service, its software, documentation and the compiled results of its operation are ours or our licensors'. We grant you a limited, non-exclusive, non-transferable right to use the service during the term. Feedback you give may be used by us without obligation.
9. Availability and support
9.1 We aim to keep the service available but do not promise uninterrupted operation, and we do not offer an uptime guarantee or a response-time guarantee. Support is by e-mail in business hours, as the Support Policy says.
9.2 We may update the service. We will tell you in advance of changes that reduce a feature you pay for.
9.3 Environments already deployed in your cloud account keep running if the service is unavailable; the service's absence stops new deployments, repairs and the console, not your running workloads.
10. Confidentiality and security
Each party keeps the other's non-public information confidential and uses it only for these Terms, except where disclosure is required by law. We keep reasonable technical and organizational security measures described in the Data Processing Agreement and will tell you without undue delay of a security incident affecting your data.
11. Warranties and disclaimers
11.1 We will provide the service with reasonable care and skill.
11.2 Except as stated, the service is provided "as is" and "as available". We do not warrant that it is error-free, that automated changes will always be correct, or that it meets requirements we were not told about. To the extent the law allows, all implied warranties are excluded.
12. Liability
12.1 Nothing limits liability that cannot be limited by law (death or personal injury from negligence, fraud).
12.2 Subject to 12.1, we are not liable for indirect or consequential loss, loss of profit, revenue, data or goodwill, or for cloud charges (section 3).
12.3 Subject to 12.1, our total liability for all claims arising in a 12-month period is limited to the fees you paid us in the 12 months before the first event giving rise to liability [ONE TIMES / TWO TIMES - decide with your lawyer]. For the Starter plan it is [AMOUNT].
12.4 You are liable for your use of the service and your cloud account, and you indemnify us against third-party claims arising from Customer Content or your breach of section 6.
13. Term and termination
13.1 These Terms last until ended. You may stop at any time by cancelling your plan; a paid term runs to its end.
13.2 We may suspend or end your access on notice for material breach not corrected within 14 days, or immediately where needed to protect the service, other customers or the law.
13.3 On termination: the service stops acting in your account; you should remove the federated identity; we delete or return your data as the Data Processing Agreement says; resources already running in your cloud account are yours and continue to run and be billed by the cloud provider until you remove them.
14. Changes to these Terms
We may change these Terms by giving 30 days' notice (e-mail and in the console). If you do not agree, you may cancel before the change takes effect. Continued use afterwards is acceptance.
15. General
15.1 Notices go to the e-mail address on your account, and to legal@primedha.com for us.
15.2 Governing law: the laws of India. Disputes go first to good-faith discussion for 30 days, then to arbitration seated in Dehradun, Uttarakhand under the Arbitration and Conciliation Act, 1996, in English; the courts at Dehradun, Uttarakhand have exclusive jurisdiction for interim relief. [Adjust if you sell mainly outside India.]
15.3 These Terms with their incorporated documents are the whole agreement. If a part is unenforceable the rest stands. Neither party may assign without the other's consent, except to a successor to substantially all its business. Failure to enforce is not a waiver. Neither party is liable for events beyond its reasonable control (including failures of a cloud provider).
